Welcome to Aeonis. These Terms of Service ("Terms") govern your use of the Aeonis mobile application ("App") operated by Aeonis LLC ("Aeonis," "we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms.
You must be at least 13 years old (or 16 in the EU/EEA) to use the App. By creating an account, you represent that you meet the minimum age requirement and that the information you provide is accurate.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
You retain ownership of the content you post on Aeonis ("User Content"). By posting content, you grant Aeonis a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your User Content solely for the purpose of operating and improving the App, including the right to display your content to other users, generate thumbnails, format your content for different devices, and operate core platform features.
You represent that you have all necessary rights to post your User Content and that it does not violate any third party's intellectual property or other rights.
Upon account deletion, we will cease displaying your public content within 30 days. Copies may persist in backups for up to 90 days before being purged.

Violations may result in content removal, account suspension, or permanent termination at our sole discretion.
Aeonis respects intellectual property rights and expects our users to do the same. We will take appropriate action against content that we determine infringes copyrights or other intellectual property rights.
If you believe that content posted on Aeonis infringes your copyright, you may submit a written DMCA takedown notice to our designated agent. Your notice must include:

If content you posted has been removed and you believe the removal was in error, you may submit a counter-notification to our designated agent. Your counter-notice must include:
Aeonis will terminate the accounts of users who are repeat copyright infringers. We maintain a record of takedown notices and counter-notices and track patterns of infringement. Users who receive multiple valid takedown notices may have their accounts suspended or permanently terminated.
The App and its original content (excluding User Content), features, and functionality are owned by Aeonis LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.
Aeonis may offer subscription plans with premium features and functionality. Subscriptions are provided through in-app purchase via Apple App Store (iOS) or Google Play Store (Android).

The App may contain links to or integrations with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services.
We may terminate or suspend your account and access to the App immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
You may delete your account at any time through the App settings. Upon deletion, your data will be handled in accordance with our Privacy Policy.
Upon termination, the following sections shall survive and continue in effect: Sections 5 (Copyright and Intellectual Property), 6 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution).
The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, Aeonis LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the App.
Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Aeonis LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App or violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
If you are a consumer located in the European Union, nothing in these Terms affects your rights under mandatory consumer protection legislation in your country of residence.
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute remains unresolved within 30 days, the dispute shall be submitted to binding arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules, conducted in Wyoming, United States.
You and Aeonis agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class action or representative proceeding. Class arbitrations and class actions are not permitted.
Either you or Aeonis may bring an individual action in small claims court in lieu of arbitration, provided that the claim qualifies for small claims court jurisdiction.
You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. The notice must include your full name, email address, and a clear statement of your intent to opt out of the arbitration agreement. If you opt out, all other terms of these Terms will continue to apply, but neither you nor Aeonis will be required to arbitrate disputes.
If you are a consumer in the European Union, the arbitration clause and class action waiver shall not apply to you. You may bring legal proceedings in the courts of your country of residence, and the substantive law of that country will apply to your dispute with Aeonis.

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the App or via email. Your continued use of the App after changes constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Neither party shall be liable or responsible for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of nature, natural disasters, acts of war, acts of terrorism, government action, epidemics, pandemics, internet service failures, or third-party service outages.
These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Aeonis regarding your use of the App and supersede all prior agreements, understandings, or negotiations.
Aeonis may assign these Terms and its rights and obligations hereunder to any third party without your consent. You may not assign these Terms or any rights hereunder without the prior written consent of Aeonis.
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.
